{"version":2,"label":"Agennect Terms of Service (v2.2)","md5":"8c66d202d739194e34b0f4c1f33439d8","bytes":15581,"updated_at":"2026-07-16 20:44:47","content":"# Agennect — Terms of Service\r\n\r\n_Version 2.2 — effective July 9, 2026._\r\n_By submitting an Agent for listing on Agennect you agree to these Terms.\r\nWe record your acceptance, including the version and SHA-256 checksum of\r\nthe Terms in force at the time._\r\n\r\n---\r\n\r\n## 1. Acceptance\r\n\r\nBy accessing or using Agennect (the \"Service\") — including browsing the\r\nmarketplace or submitting an Agent for listing — you (\"you\", \"User\",\r\n\"Lister\") agree to be bound by these Terms of Service (\"Terms\"). If you\r\nare acting on behalf of a company or other legal entity, you represent\r\nthat you have authority to bind that entity. If you do not agree, do not\r\nuse the Service.\r\n\r\n---\r\n\r\n## 2. Definitions\r\n\r\n- **Agent** — an AI service submitted to and listed on Agennect,\r\n  discoverable through the marketplace.\r\n- **Lister** — a User who submits an Agent for listing on Agennect.\r\n- **Marketplace** — the public registry of approved Agents.\r\n- **Operator** — Agennect (agennect.com), the entity operating the\r\n  Service. Contact: onboard@thecao.io\r\n\r\n---\r\n\r\n## 3. Scope of the Service\r\n\r\nAgennect is an **Agent listing and discovery service**. In its current\r\nform, the Service allows Listers to submit Agents for review and, upon\r\napproval, makes those Agents discoverable in the Marketplace. Agennect\r\ndoes not currently collect personal data, require account registration,\r\nor process payments in connection with free listings.\r\n\r\nAgennect is a **directory and gateway only**. It does not operate,\r\ncontrol, host, monitor, or take responsibility for the Agents listed\r\nby third parties. All Agent operations occur on infrastructure owned\r\nand controlled exclusively by the Lister.\r\n\r\n---\r\n\r\n## 4. Lawful use\r\n\r\nYou must use the Service only for lawful purposes and in compliance\r\nwith all applicable laws, regulations, and third-party rights. You are\r\nsolely responsible for your use of the Service and for any Agent you\r\nsubmit, operate, or invoke.\r\n\r\n---\r\n\r\n## 5. Prohibited Agents and uses\r\n\r\nYou may not submit, list, operate, invoke, or use any Agent for content\r\nor purposes that are:\r\n\r\n1. **Criminal or illegal** — facilitating, planning, directing, or\r\n   carrying out any activity unlawful under any applicable law or\r\n   regulation, including but not limited to fraud, money laundering,\r\n   bribery, or unauthorized access to computer systems.\r\n\r\n2. **Child sexual abuse material (CSAM)** — any sexual content\r\n   involving minors, without exception. This includes real,\r\n   AI-generated, synthetic, manipulated, or simulated content that\r\n   depicts, sexualizes, or exploits minors in any way. Agennect will\r\n   report any such content to applicable authorities — including the\r\n   National Center for Missing and Exploited Children (NCMEC) and\r\n   Mexican federal authorities (FGR) — and will preserve all\r\n   associated records as required by law.\r\n\r\n3. **Violent or harmful** — promoting, enabling, instructing, or\r\n   facilitating violence, self-harm, suicide, terrorism, weapons\r\n   development (including biological, chemical, nuclear, or\r\n   radiological weapons), or physical harm to people or animals.\r\n\r\n4. **Exploitative or abusive** — harassment, stalking, doxxing,\r\n   human trafficking, exploitation of minors or vulnerable people,\r\n   or non-consensual collection or disclosure of personal information.\r\n\r\n5. **Fraudulent or deceptive** — scams, phishing, identity theft,\r\n   impersonation, distribution of malware or ransomware, or\r\n   circumvention of security controls.\r\n\r\n6. **Infringing** — violating intellectual property rights\r\n   (including copyright, trademark, or trade secret), privacy rights,\r\n   or other rights of any third party.\r\n\r\n7. **Otherwise harmful** — any content or use that Agennect\r\n   reasonably determines to be harmful, abusive, deceptive, or\r\n   contrary to the integrity of the Service or the safety of its\r\n   users.\r\n\r\nAgennect may take immediate action — including suspension, delisting,\r\nand preservation of records — upon becoming aware of any suspected\r\nviolation of this Section, without prior notice to the Lister.\r\n\r\n---\r\n\r\n## 6. Law enforcement cooperation and mandatory reporting\r\n\r\n1. **Voluntary disclosure** — Agennect may disclose information about\r\n   submitted Agents and their Listers to law enforcement or competent\r\n   authorities when Agennect reasonably believes that disclosure is\r\n   necessary to: (a) comply with applicable law or a valid legal\r\n   process; (b) prevent or stop imminent harm to any person; (c)\r\n   protect the rights, property, or safety of Agennect, its users,\r\n   or the public; or (d) detect, prevent, or address fraud or\r\n   security issues.\r\n\r\n2. **Mandatory disclosure** — Agennect will disclose information in\r\n   response to a valid court order, subpoena, search warrant, or\r\n   other legally binding request from a competent authority, to the\r\n   extent required by applicable law.\r\n\r\n3. **CSAM mandatory reporting** — Agennect will report suspected CSAM\r\n   to NCMEC and applicable Mexican federal authorities (FGR) as\r\n   required by law and will preserve all associated records for the\r\n   legally required period.\r\n\r\n4. **Record preservation** — Upon becoming aware of a potential legal\r\n   obligation or law enforcement inquiry, Agennect will preserve\r\n   relevant records for a reasonable period, even if those records\r\n   would otherwise be deleted in the ordinary course of business.\r\n\r\n5. **No liability for disclosure** — Agennect shall not be liable to\r\n   you or any third party for any disclosure made in good faith under\r\n   this Section.\r\n\r\nBy submitting an Agent for listing, you acknowledge and consent to the\r\ndisclosures described in this Section.\r\n\r\n---\r\n\r\n## 7. Listing and review\r\n\r\nAll submitted Agents enter a **pending review** state and are **not\r\npublicly listed** until approved by Agennect. Agennect may approve,\r\ndeny, delist, suspend, or permanently remove any Agent at its sole and\r\nabsolute discretion — including, without limitation, for violations of\r\nSection 5, for inactivity, for degraded performance, or for any other\r\nreason — at any time and without prior notice.\r\n\r\nIf your Agent is denied or removed, Agennect will endeavor to notify\r\nthe contact provided at submission, except where notification is\r\nprohibited by law or would compromise an investigation.\r\n\r\nAs a Lister, you represent and warrant that: (a) you are authorized to\r\nlist the Agent; (b) the Agent complies with these Terms; and (c)\r\nlisting the Agent does not violate any applicable law or any agreement\r\nto which you are a party.\r\n\r\n---\r\n\r\n## 8. Listers' responsibilities\r\n\r\nYou are **solely and exclusively responsible** for:\r\n\r\n- Your Agent's behavior, availability, security, and all outputs it\r\n  produces\r\n- All data your Agent collects, processes, stores, or transmits\r\n- Compliance of your Agent and its operations with all applicable laws,\r\n  including data protection, consumer protection, and AI regulation\r\n- Any harm caused to any person or entity by your Agent or its outputs\r\n- Keeping the contact information you provided accurate and up to date\r\n\r\nAgennect's role is limited to operating a directory. Agennect does not\r\nreview, audit, monitor, endorse, or take any responsibility for the\r\nAgents that Listers operate. Listing an Agent on Agennect does not\r\nconstitute any endorsement, certification, or warranty by Agennect.\r\n\r\n---\r\n\r\n## 8-bis. Try-it playground\r\n\r\nWhere a Lister has opted their Agent into the Try-it playground (the\r\nin-browser demo chat available on \\`agennect.com\\`), the following\r\nadditional terms apply, on top of everything else in these Terms:\r\n\r\n- **The chat responses are generated by the listed Agent** — operated by\r\n  its Lister or provider. Agennect transports the request and streams\r\n  the response; it does **not** author, endorse, verify, or take\r\n  responsibility for anything the Agent says or does during a demo\r\n  session.\r\n- **Demo sessions are capped** (short-lived, low turn count, small\r\n  message size) and **logged** for metering and abuse prevention.\r\n- **Killswitch applies.** Agennect may suspend or terminate an Agent's\r\n  Try-it access at its sole discretion — including without notice — for\r\n  reasons including but not limited to abuse, safety concerns, cost,\r\n  legal risk, or any other reason at Agennect's discretion.\r\n- **No warranty; same liability limits.** The demo is provided AS IS on\r\n  the same \"no warranty\" and \"limitation of liability\" terms in §9 and\r\n  §10 below. Users acknowledge that Agent output may be inaccurate,\r\n  offensive, unsafe, or unlawful, and that they use it at their own risk.\r\n- **No expectation of privacy for demo content.** Do not paste secrets,\r\n  credentials, personal data, or anything you would not put in a public\r\n  channel into a Try-it session.\r\n\r\nListers may enable or disable Try-it on their own Agents at any time via\r\nAgennect's admin interface.\r\n\r\n---\r\n\r\n## 9. No warranty\r\n\r\nTHE SERVICE AND ALL AGENTS ARE PROVIDED \"AS IS\" AND \"AS AVAILABLE\",\r\nWITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT\r\nLIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR\r\nPURPOSE, ACCURACY, RELIABILITY, SECURITY, COMPLETENESS, OR\r\nNON-INFRINGEMENT.\r\n\r\nAGENNECT MAKES NO WARRANTY THAT:\r\n(A) THE SERVICE WILL MEET YOUR REQUIREMENTS;\r\n(B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;\r\n(C) ANY AGENT LISTED ON THE MARKETPLACE IS ACCURATE, RELIABLE,\r\n    SAFE, OR FIT FOR ANY PURPOSE;\r\n(D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED; OR\r\n(E) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE\r\n    OF VIRUSES OR OTHER HARMFUL COMPONENTS.\r\n\r\nYOUR USE OF THE SERVICE AND ANY AGENT IS ENTIRELY AT YOUR OWN RISK.\r\nNO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM\r\nAGENNECT SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.\r\n\r\n---\r\n\r\n## 10. Limitation of liability\r\n\r\nTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL\r\nAGENNECT, ITS OPERATOR, AFFILIATES, LICENSORS, SERVICE PROVIDERS,\r\nEMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY:\r\n\r\n- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR\r\n  PUNITIVE DAMAGES;\r\n- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED\r\n  SAVINGS;\r\n- LOSS OF USE OR LOSS OF OPPORTUNITY;\r\n- DAMAGE TO REPUTATION;\r\n- ANY OTHER LOSS OR DAMAGE OF ANY KIND;\r\n\r\nARISING FROM OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE\r\nSERVICE; (B) ANY AGENT LISTED ON OR INVOKED THROUGH THE SERVICE; (C)\r\nANY CONTENT SUBMITTED TO OR GENERATED BY ANY AGENT; (D) UNAUTHORIZED\r\nACCESS TO OR ALTERATION OF YOUR DATA; OR (E) ANY OTHER MATTER\r\nRELATING TO THE SERVICE;\r\n\r\nEVEN IF AGENNECT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES,\r\nAND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.\r\n\r\nAGENNECT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING\r\nFROM OR RELATED TO THE SERVICE, REGARDLESS OF THE FORM OF ACTION —\r\nWHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE — SHALL NOT\r\nEXCEED ONE HUNDRED US DOLLARS (USD $100.00).\r\n\r\nAGENNECT IS NOT LIABLE FOR THE ACTIONS, OUTPUTS, DATA PRACTICES,\r\nSECURITY, OR AVAILABILITY OF ANY AGENT LISTED ON THE MARKETPLACE.\r\nYOUR SOLE REMEDY AGAINST AGENNECT IS TO STOP USING THE SERVICE.\r\n\r\nSOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF\r\nCERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE\r\nLIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.\r\n\r\n---\r\n\r\n## 11. Indemnification\r\n\r\nYou agree to defend, indemnify, and hold harmless Agennect and its\r\noperator, affiliates, licensors, service providers, employees, agents,\r\nofficers, and directors from and against any and all claims, damages,\r\nlosses, liabilities, costs, and expenses (including reasonable\r\nattorneys' fees) arising from or related to:\r\n\r\n(a) Your use of the Service;\r\n(b) Any Agent you submit, list, or operate;\r\n(c) Any output, data, or action produced by your Agent;\r\n(d) Your violation of these Terms;\r\n(e) Your violation of any applicable law or regulation; or\r\n(f) Your violation of any third-party rights, including intellectual\r\n    property, privacy, or data protection rights.\r\n\r\nThis indemnification obligation survives termination of these Terms\r\nand your use of the Service.\r\n\r\n---\r\n\r\n## 12. Suspension and termination\r\n\r\nAgennect may suspend or terminate your access to the Service and\r\ndelist any or all of your Agents at any time, with or without cause,\r\nand with or without notice. Upon termination, your right to use the\r\nService ceases immediately.\r\n\r\nSections 5, 6, 8, 9, 10, 11, 13, 14, and 15 survive termination of\r\nthese Terms.\r\n\r\n---\r\n\r\n## 13. Privacy\r\n\r\nAgennect currently does not require account registration or login, and\r\ndoes not collect personal data from end users browsing the Marketplace.\r\n\r\nWhen Listers submit an Agent, Agennect may collect the contact\r\ninformation provided in the submission form (such as an email address)\r\nsolely for the purpose of communicating about the listing review\r\nprocess. This information is not sold, rented, or shared with third\r\nparties except as required by law or as described in Section 6.\r\n\r\nA full Privacy Notice (Aviso de Privacidad) is available at\r\nagennect.com/privacidad, governing the treatment of any personal data\r\ncollected in connection with the Service.\r\n\r\nListers are solely responsible for ensuring that their Agents comply\r\nwith all applicable data protection laws, including obtaining any\r\nrequired consents from persons whose data the Agent processes.\r\n\r\n---\r\n\r\n## 14. Changes to these Terms\r\n\r\nAgennect may update these Terms at any time. Each version is numbered\r\nand assigned a SHA-256 checksum. For material changes, Agennect will\r\nprovide notice via the Service or by email (if a contact was provided)\r\nbefore the new Terms take effect. Continued use of the Service or\r\nmaintenance of any listing after a new version takes effect constitutes\r\nacceptance of the updated Terms. If you do not agree, you must request\r\nremoval of your Agent listing by contacting onboard@thecao.io.\r\n\r\n---\r\n\r\n## 15. Governing law and dispute resolution\r\n\r\nThese Terms are governed by and construed in accordance with the laws\r\nof the United Mexican States, without regard to conflict of law\r\nprinciples. Any dispute arising from or related to these Terms or the\r\nService that cannot be resolved amicably shall be submitted to the\r\nexclusive jurisdiction of the competent courts of Mexico City\r\n(Ciudad de México), and each party irrevocably consents thereto.\r\n\r\nFor Users located in the European Union: nothing in these Terms\r\naffects your statutory rights under applicable EU law.\r\n\r\n---\r\n\r\n## 16. Severability and waiver\r\n\r\nIf any provision of these Terms is found to be invalid, illegal, or\r\nunenforceable, that provision shall be modified to the minimum extent\r\nnecessary to make it enforceable, or severed if modification is not\r\npossible, and the remaining provisions shall remain in full force. No\r\nwaiver of any provision shall be effective unless in writing. No\r\nfailure or delay by Agennect in exercising any right shall constitute\r\na waiver of that right.\r\n\r\n---\r\n\r\n## 17. Entire agreement\r\n\r\nThese Terms constitute the entire agreement between you and Agennect\r\nregarding the Service and supersede all prior agreements,\r\nrepresentations, or understandings, whether written or oral, relating\r\nto the subject matter hereof.\r\n\r\n---\r\n\r\n## 18.
